By accessing the Website at https://profero.io/, users acknowledge reading and understanding the Terms of Use and Privacy Policy. Users agree to comply with all applicable laws. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT ENTER, CONNECT TO, ACCESS OR USE THE WEBSITE IN ANY MANNER.

The Website provides informational pages about Profero and includes forms for: (i) “Contact Us” to connect with the company, and (ii) “Careers” to apply for employment opportunities.

3. Use Restrictions

Profero grants a limited, personal, not exclusive, non-assignable, not-tradeable, non-sub-licensable, fully and immediately revocable license to access and use the Website and content for personal, educational, or non-commercial use, under conditions that: (i) use is for personal/educational/internal business purposes; (ii) users do not modify or create derivative works; (iii) copyright notices remain unaltered; (iv) content is not redistributed or publicly displayed.

Upon Profero’s request, users must immediately return and purge all collected materials.

6. Intellectual Property Rights

“Profero Intellectual Property” includes the Website, logos, graphics, icons, content, trademarks, trade names, copyrightable materials, designs, and all related intellectual property rights under Israeli, foreign, and international laws.

“Profero” and associated logos are trademarks, whether registered or not. Other marks belong to respective owners. Users cannot use Profero Trademarks or Third Party Marks without express permission. Users must not remove copyright notices or proprietary rights indicators and cannot use names or logos identical to or confusingly similar to Profero’s marks.

Website availability and functionality depend on various factors, such as communication networks, software, hardware, and Profero’s Website providers and contractors. Profero does not warrant the Website will operate without disruption, be immune from unauthorized access, or be error-free.

Profero reserves the right to modify, correct, amend, enhance, improve, make any other changes to, or discontinue, temporarily or permanently, the Website (or any part thereof) without notice, at any time. Profero and affiliates DISCLAIM AND MAKE NO REPRESENTATIONS OR WARRANTIES AS TO THE USABILITY, ACCURACY, QUALITY, AVAILABILITY, RELIABILITY, SUITABILITY, COMPLETENESS, TRUTHFULNESS, USEFULNESS, OR EFFECTIVENESS OF ANY CONTENT, DATA, RESULTS, OR OTHER INFORMATION available through the Website.

PROFERO DOES NOT WARRANT THAT THE OPERATION OF THE WEBSITE IS OR WILL BE SECURE, ACCURATE, COMPLETE, UNINTERRUPTED, WITHOUT ERROR, OR FREE OF VIRUSES, WORMS, OTHER HARMFUL COMPONENTS, OR OTHER PROGRAM LIMITATIONS.

Users agree that THE USE OF THE WEBSITE, INCLUDING USE OF AND/OR RELIANCE ON ANY CONTENT AVAILABLE THROUGH THE WEBSITE, IS ENTIRELY AT YOUR OWN RISK.

10. Limitation of Liability

IN NO EVENT SHALL PROFERO AND/OR ANY OF THE PROFERO AFFILIATES AND/OR SUBSIDIARIES BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND arising from the Website, use, failure to perform, loss of goodwill, data, profits, or any other cause.

Even if Profero is found liable, PROFERO’S LIABILITY SHALL IN NO EVENT EXCEED US$100.00.

NO ACTION MAY BE BROUGHT BY YOU FOR ANY BREACH OF THESE TERMS MORE THAN ONE (1) YEAR AFTER THE ACCRUAL OF SUCH CAUSE OF ACTION.

These limitations apply to all claims, including contract, warranty, strict liability, negligence, and tort claims. Users acknowledge these are AGREED ALLOCATIONS OF RISK CONSTITUTING IN PART THE CONSIDERATION FOR PROFERO’S PROVISION OF THE WEBSITE TO YOU.

11. Indemnification

Users agree to defend, indemnify and hold Profero and any Profero affiliates harmless from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, fines, late fees, cancellation fees and expenses (including attorney’s fees) arising from user’s Website use.

12. Amendments to the Terms

Profero may change these Terms at its sole discretion without notice. Substantial changes are notified on the homepage or via email to provided addresses, taking effect seven (7) days after notice. Other changes are effective on the stated “Last Revised” date, and continued Website use constitutes acceptance.

13. Minors

Users must be over eighteen (18) years old. Profero reserves the right to request age proof and will prohibit users under eighteen, deleting their Personal Information per the Privacy Policy.

14. General

These Terms do not create partnerships, joint ventures, or agency relationships. Claims are governed by Israeli law without conflict-of-laws reference. Disputes are brought in competent courts of Tel Aviv District, Israel.

If any provision is unlawful or unenforceable, it is deemed severable without affecting remaining provisions. Users cannot assign rights or obligations without express written consent. No waiver of breach constitutes waiver of other breaches. Headings are for convenience only. These Terms constitute the entire agreement, superseding prior understandings.
